By accessing or using our software, website, or services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not access or use our software, website, or services.

1. Use of Our Software, Website, and Services

You must be at least 18 years old to use our software, website, and services. By using our software, website, or services, you represent and warrant that you are at least 18 years old.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account or password.

You may not reproduce, modify, distribute, or otherwise use any part of our software, website, or services without our prior written consent.

The Service is provided on an "as is" and "as available" basis without warranties of any kind.

7. User Content / Feedback
You may be able to post or send messages, text, graphics, photos, videos, data, feedback, suggestions, ideas, concepts, or other materials (“User Content”) on or through the Site’s contact form or other features. You agree that you are and shall remain solely responsible for the contents of any User Content you submit and that you will not submit material that is unlawful, defamatory, abusive, or obscene.

You also agree that any User Content submitted will be treated as non-confidential and non-proprietary. By posting or sending such User Content, you represent and warrant that (i) you have the right to use, distribute, and/or reproduce all materials contained therein, and such materials do not violate any right of any third party, including copyright, trademark, patent, trade secret, privacy or other personal or proprietary right(s), (ii) the User Content is accurate, and (iii) the User Content does not violate any other provisions in the Terms of Use.

In consideration of your use of the Site, you hereby grant to Endeavor a perpetual, irrevocable, worldwide, transferable, royalty-free, non-exclusive right and license to use, reproduce, modify, adapt, publish, display, translate, sub-license, create derivative works from, and distribute such User Content in any medium or technology now known or later developed. You agree that CoPivot shall be entitled to unrestricted use of such User Content for any purpose whatsoever without any compensation to you or your licensors.

Some of the User Content displayed on the Site may be submitted, transmitted, posted, or otherwise provided by users of the Site over whom CoPivot exercises no control. You may find User Content objectionable, inappropriate, or offensive. CoPivot disavows responsibility for User Content to the extent permitted by law and has no obligation to screen User Content in advance. CoPivot may in its sole discretion at any time remove or alter any User Content or take any other actions with respect to User Content. Endeavor has no liability or responsibility to users for performance or nonperformance of such activities. Should you come across any content that you find objectionable, inappropriate, or offensive, you can bring it to our attention by contacting us at contact@copivotapp.com.

8. Beta Services and Pilot Participation

“Beta Services” means a Service, or a feature of a Service or Product, that is designated or presented to the user as alpha, beta, experimental, pilot, limited release, in development, developer preview, early access, non-production, evaluation, such that it is provided before general commercial release (and can have the designation “Beta”).  The Beta Services may be accessed via multiple formats, such as email, direct URL, documentation, a separate, stand-alone service, or microservice.

By accepting these Terms or using the Beta Services, you understand and acknowledge that the Beta Services are being provided on an “As Is” or “As Available” basis. In addition, we are not obligated to provide any maintenance, technical, or other support for the Beta Services. CoPivot reserves the right to offer Beta Services for free or charge fees to access and use the Beta Services.

You acknowledge the importance of communication between you and CoPivot during your use of the Beta Services and agree to receive related correspondence and updates from us with regard to the Beta Services.  In the event you request to opt-out from such communications, CoPivot reserves the right to terminate your participation in the Beta Program, and your use of the applicable Beta Services will likewise be discontinued.

As part of using the Beta Services, you will be asked to provide feedback regarding your use of the Beta Services. You acknowledge that CoPivot owns all feedback provided, and you hereby grant to us, if for any reason it is further needed, a perpetual, non-revocable, royalty-free worldwide license to use and/or incorporate such feedback into any of our products or services at any time at our sole discretion. If we choose to publish such feedback, we will either do so in a way that does not identify you or confirm your consent in the event we do wish to identify you.

We may also monitor how you use the Beta Services and use that information to improve the Beta Services or our other products and services.

Except to the extent permitted by law, you agree not to modify, distribute, prepare derivative works of, reverse engineer, reverse assemble, disassemble, decompile or otherwise attempt to decipher any code in connection with the Beta Services and/or any other aspect of CoPivot technology.

CoPivot reserves the right to modify or terminate the Beta Program or the Beta Services, or your use of the Beta Services, to limit or deny access to the Beta Services and/or participation in the Beta Program, at any time, in our sole discretion, for any reason, with or without notice and without liability to you.  You understand and agree that if you use the Beta Services after the date on which the Terms have changed, we will treat your use as acceptance of the updated Terms.

These terms will remain in effect for as long as you use the Beta Services until general release (General Availability or “GA”) to the public.  These Terms will automatically terminate upon any breach by you of any of your obligations hereunder including breach of confidentiality obligations. Your breach of any of your obligations under the Agreement may result in your immediate termination from use of other Beta Services or use of CoPivot Services.

In the event that you are no longer a user of CoPivot, your use of all Pilot and Beta Services will be terminated.

9. Limitation of Liability

To the fullest extent permitted by law, CoPivot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use our software, website, or services; (b) any conduct or content of any third party on our software, website, or services; or (c) unauthorized access, use, or alteration of your information.

10. Third-Party Sites

The Site may link you to other websites on the Internet. Such other websites may not be under the control of CoPivot, and you acknowledge that CoPivot is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect(s) of the content of sites that are not under the control of CoPivot. The inclusion of such a link does not imply endorsement of the site by CoPivot or any association between CoPivot and the operators of such other sites.

11. Linking to the Site

Generally, CoPivot does not mind if you have a text link from your website to the Site. However, you may not frame or “mirror” the Site or incorporate pieces of it into a different website or product. Links to the Site must identify CoPivot as the source of information displayed and preserve the integrity of web pages associated with the Site without alteration. Further, you may not link to the Site if you create or post any illegal, obscene, or offensive content, or if the link in any way hurts our reputation.

12. Refund Policy

We do not offer refunds for digital goods or subscription services unless required by law.

13. Changes to These Terms

We reserve the right to update or change these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of our software, website, or services after the posting of any changes to these Terms constitutes acceptance of those changes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Deleware, without regard to its conflict of law provisions.
